Effective 15 September 2026
Terms of Service
The agreement between you and Duzenio for using the web application and the desktop and mobile apps. Section 4 is the end-user licence for the apps, and section 6 sets out what a workspace owner takes on when they turn on screenshot capture for their team. Our Privacy Policy explains what we collect and why.
1.The agreement
These Terms of Service (the “Terms”) are a contract between you and Duzenio (“Duzenio”, “we”, “us”). They govern your use of the Duzenio website, the web application at app.duzenio.com, and the Duzenio desktop and mobile apps (together, the “Service”).
By creating an account, accepting an invitation to a workspace, installing an app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an organisation, you confirm that you have authority to bind it, and “you” means that organisation as well as you personally.
Some definitions. A Workspace is a Duzenio account for one organisation. The Customer is the organisation that owns the Workspace. Members are the people the Customer invites into it: employees, contractors and clients. Customer Data is everything a Workspace and its Members put into the Service, including screenshots and activity data.
2.Accounts and Workspaces
You must be at least 16 years old and give accurate information when you sign up. You are responsible for keeping your credentials secret and for everything done under your account. Tell us at once at info@duzenio.com if you believe your account has been compromised.
The Customer controls its Workspace: who is a Member, what they can see, which features are on, and whether the desktop app captures screenshots. The Customer can remove a Member at any time, and a Member’s access to Customer Data ends when the Customer removes them.
When a Member leaves a Workspace, the time entries, screenshots, messages and documents they created stay in the Workspace. They belong to the Customer, not to the individual Member.
3.The Service and our right to change it
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your organisation’s internal business purposes during your subscription, in accordance with these Terms.
We improve the Service continuously and may add, change or remove features. If we remove a feature that a paid plan materially depends on, we will give at least 30 days’ notice. We may suspend the Service for maintenance, and we will try to do so outside your working hours and with notice where practical.
4.Licence for the desktop and mobile apps (EULA)
This section is the end-user licence agreement for the Duzenio desktop app for Windows and macOS and the Duzenio mobile app for Android (the “Apps”). It applies in addition to the rest of these Terms.
Licence. We grant you a personal, revocable, non-exclusive, non-transferable licence to install and run the Apps on devices you own or control, solely to use a Workspace you are a Member of, for as long as you remain one and comply with these Terms. The Apps are licensed, not sold.
Restrictions. You must not, and must not allow anyone else to:
- copy, modify, translate or create derivative works of the Apps;
- reverse engineer, decompile or disassemble the Apps, except to the extent the law expressly permits it despite this restriction;
- remove or obscure any proprietary notice in the Apps;
- sell, rent, lease, sublicense or redistribute the Apps, or use them to provide a service to third parties;
- circumvent or interfere with the Apps’ licensing, update, tracking or capture mechanisms, or feed them false activity;
- install the Apps on a device you do not have the right to monitor.
What the Apps do on your device. While a timer is running, and depending on the Workspace’s settings, the desktop app captures screenshots, counts keyboard and mouse activity, and detects idle time, and uploads these to the Workspace. It does not record keystrokes. It shows a visible indicator while tracking. On launch it fetches a configuration file from duzenio.com to locate the application. Our Privacy Policy describes this in full.
Permissions. The Apps will ask the operating system for the permissions they need, such as screen recording and accessibility on macOS. You may refuse them; the App will then run without the corresponding feature.
Updates. The Apps check for updates and may install them automatically to keep you on a supported version. Updates are covered by this licence. We may stop supporting older versions and require an update to keep using the Service.
Third-party software. The Apps include open-source components licensed under their own terms, which take precedence for those components. A list is available in the App or on request.
Termination of the licence. The licence ends automatically when your membership of every Workspace ends, when your Customer’s subscription ends, or if you breach these Terms. You must then uninstall the Apps.
5.Customer Data
Ownership. The Customer owns its Customer Data. We claim no rights in it beyond the licence below.
Our licence to it. The Customer grants us a worldwide, non-exclusive licence to host, store, copy, transmit, display and process Customer Data only as needed to provide, secure and support the Service and as permitted by these Terms and our Privacy Policy. We do not use Customer Data to train machine-learning models or for advertising.
Your responsibilities. The Customer is responsible for the accuracy and lawfulness of its Customer Data, for having the right to put it into the Service, and for the way its Members use the Service. Where data-protection law applies, the Customer is the controller of Customer Data and we are its processor, acting on the Customer’s documented instructions, which these Terms and the Workspace settings constitute.
Export and deletion. The Customer can export its data from the app during the subscription and for 30 days after it ends. After that, we delete Customer Data from live systems within 30 days and from backups within 90 days, unless the law requires us to keep it.
6.Monitoring your team lawfully
Screenshot capture, activity levels and idle detection are workplace monitoring. The rules for that differ from country to country and sometimes require notice, consent, a works-council agreement, an impact assessment, or limits on what may be captured.
The Customer, not Duzenio, is responsible for making its monitoring lawful. By enabling these features the Customer confirms that it:
- has a lawful basis to monitor each Member whose activity it captures;
- has told those Members, in writing and before capture begins, what is captured, when, who can see it and why;
- has obtained any consent or agreement its local law requires;
- configures capture, blurring and retention settings appropriately for its jurisdiction;
- uses the captured data only for legitimate purposes such as verifying billable time, and not to discriminate or harass.
The Customer will indemnify us against claims by Members or regulators that arise from monitoring the Customer chose to enable. We may suspend capture features for a Workspace if we reasonably believe they are being used unlawfully.
7.Acceptable use
You must not use the Service to:
- break any law, or infringe anyone’s rights, including privacy and intellectual-property rights;
- upload malware or anything designed to damage or gain unauthorised access to systems;
- probe, scan or test the vulnerability of the Service without our written permission, or interfere with its operation;
- access another Customer’s Workspace or data without authorisation;
- harass, threaten or abuse other users;
- send spam or unsolicited messages through the Service;
- resell the Service or use it to build a competing product;
- use automated means to access the Service other than through interfaces we provide for that purpose.
We may remove content or suspend accounts that breach this section. We will tell you why unless the law prevents it or doing so would compromise an investigation.
8.Fees and payment
Paid plans are billed in advance for the billing period shown when you subscribe, plus any tax that applies. Fees are based on the number of Members or the plan tier, as described on the pricing page or your order form. Adding Members mid-period is charged pro rata; removing them takes effect at the next renewal.
Subscriptions renew automatically at the end of each period unless cancelled before it ends. You can cancel from your Workspace settings. Except where the law requires otherwise, fees are non-refundable, and unused time is not credited.
If a payment fails we will notify you and retry. If it remains unpaid 14 days after the due date we may suspend the Workspace until it is settled. We may change our prices with at least 30 days’ notice; the change applies from your next renewal.
Free plans and trials are provided as-is, may be limited or withdrawn at any time, and may be deleted after a period of inactivity that we will announce in advance.
9.Intellectual property
The Service, the Apps, and everything in them other than Customer Data — software, design, text, logos and trademarks — belong to us or our licensors and are protected by copyright, trademark and other laws. These Terms grant you no rights in them beyond the licences expressly stated.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.
10.Confidentiality
We will treat Customer Data as confidential and will not disclose it except to providers who help us run the Service, as required by law, or as the Customer directs. You will treat any non-public information about the Service, such as unreleased features or security details we share with you, as confidential.
11.Suspension and termination
By you. The Customer may cancel its subscription and delete its Workspace at any time from the Workspace settings. A Member may delete their own account at any time; this does not remove the Customer Data they created.
By us. We may suspend or terminate your access if you materially breach these Terms and do not fix the breach within 14 days of notice, if fees remain unpaid, if we are required to by law, or if your use poses a security risk to the Service or other customers. We may terminate immediately for serious breaches such as unlawful use or attacks on the Service.
Effect. On termination your licences end and you must stop using the Service and uninstall the Apps. Section 5 governs export and deletion of Customer Data. Sections that by their nature should survive, including fees owed, intellectual property, confidentiality, disclaimers, limitation of liability and governing law, survive termination.
12.Disclaimers
The Service and the Apps are provided “as is” and “as available”. To the fullest extent the law permits, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, that captured data will be complete or accurate, or that it will satisfy any legal, payroll or record-keeping requirement that applies to you.
Time, activity and screenshot data is a tool to help you run your business. Decisions you take about pay, performance or discipline based on it are yours.
13.Limitation of liability
To the fullest extent the law permits, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however caused, even if advised of the possibility.
To the fullest extent the law permits, our total liability arising out of or relating to these Terms or the Service will not exceed the fees the Customer paid us in the 12 months before the event giving rise to the claim, or, for a free plan, one hundred US dollars.
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law. The Customer’s indemnity in section 6 and its payment obligations are not subject to the cap above.
14.Indemnity
The Customer will defend and indemnify us against third-party claims, and the reasonable costs of them, arising from its Customer Data, its monitoring of Members, or its or its Members’ breach of these Terms or the law. We will notify you promptly of any such claim and let you control the defence, provided you do not settle in a way that admits fault on our part without our consent.
15.Governing law and disputes
These Terms are governed by the laws of Pakistan, without regard to conflict-of-law rules. The courts of Karachi, Pakistan have exclusive jurisdiction over any dispute arising from them, and each party submits to that jurisdiction, except that we may seek injunctive relief in any court to protect our intellectual property or the security of the Service.
Before starting proceedings, each party agrees to write to the other describing the dispute and to make a good-faith attempt to resolve it within 30 days. If you are a consumer, nothing in this section deprives you of mandatory protections of the law where you live.
16.General
Changes to these Terms. We may update these Terms. The effective date at the top shows when they last changed. For material changes we will notify workspace owners by email or in the app at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not, cancel before then.
Entire agreement. These Terms, the Privacy Policy and any order form are the whole agreement between us about the Service and replace any earlier agreement. If an order form conflicts with these Terms, the order form wins for that Customer.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor to our business.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
Severability and waiver. If any provision is unenforceable, the rest remain in force. A failure to enforce a right is not a waiver of it.
Notices. We will send notices to the email address on your account. Send notices to us at info@duzenio.com.
